Process Monitor : Win XP Pro Shutdown

When I shutdown my system immediately restarts...
Any suggestions on problem resolutions... OR ...
how can I run ProcessMon and capture events as the machine is shutting down...?
where would the PM log be stored upon shutdown...?

any other suggestions sincerely appreciated...
