You have corrupted registry entries for this software. This can happen if you switch to an updated copy without clearing old copy data from the registry. Since this has no installer/uninstaller, you should always manually remove old registry entries for Process Explorer before opening an updated version.
Do a registry search in Current User for keys: Software>sysinternals>processExplorer
Delete or rename the key.
Process Explorer will then open normally as long as you do not have Firewall or other software blocking it.
You might also check RUNAS permissions to make sure you are opening the procexp.exe file with the proper account and permissions.(Administrative rights full control) .

ps
You may also have this issue after restoring a backed-up registry or using system restore.
